Terms & Conditions

1. Scope

These Terms apply to all quotations, sample shipments and sales of textiles and rugs by Anadolu Looms Tekstil A.Ş. (“Seller”). Buyer’s terms are excluded unless expressly accepted in writing.

2. Quotations & Orders

Quotes are valid for 30 days unless stated otherwise. An order is binding when we issue a written confirmation. Samples are for evaluation only and may differ slightly from production within industry tolerances.

3. Specifications & Approvals

Prior to production the Buyer approves lab dips, shade cards or strike-offs where applicable. Minor deviations are permissible: ±5% GSM, reasonable shade variation between batches, and width tolerances common to the trade.

4. Prices & Taxes

Prices are in USD, EXW Istanbul (Incoterms® 2020) unless agreed otherwise, exclusive of VAT, duties and freight. Packaging suitable for international transport is included.

5. Payment

Standard terms: 30% deposit upon order confirmation; 70% before dispatch. Late payments may incur interest at the statutory commercial rate. Goods remain Seller’s property until paid in full.

6. Lead Times

Lead times start after approvals and deposit receipt. We will notify Buyer of events beyond our control (force majeure) such as utility outages, supply disruptions, strikes or transport embargoes.

7. Delivery & Risk

Risk passes to Buyer upon handover to the carrier at the named place (EXW) or as otherwise agreed in writing. Visible transport damage must be noted on the carrier’s receipt and reported promptly.

8. Quality & Claims

Buyer shall inspect goods on arrival and notify defects with evidence within 7 days. Our liability is limited to replacement or credit for the affected quantity. We may request samples or arrange inspection to verify the claim.

9. Use & Compliance

Buyer is responsible for ensuring suitability for end-use and compliance with local regulations. We can share available test reports (e.g., color fastness, abrasion) on request.

10. Intellectual Property & Samples

Designs, patterns, technical drawings and sample materials remain Seller’s intellectual property unless otherwise agreed. Buyer shall not reproduce proprietary content without permission.

11. Limitation of Liability

We are not liable for indirect or consequential losses such as lost profits, production downtime or third-party claims. Our aggregate liability is capped at the invoiced value of the affected goods.

12. Sanctions & Export Controls

Buyer confirms that goods will not be used contrary to applicable sanctions or export control laws. We may suspend or cancel orders if fulfilling them would breach such laws.

13. Confidentiality

Non-public commercial information exchanged for quotations or developments shall be kept confidential by both parties.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of Türkiye. Courts of Istanbul shall have exclusive jurisdiction.

15. Entire Agreement

These Terms together with the written order confirmation and any signed specifications constitute the entire agreement between the parties.

Nothing in these Terms limits liability where such limitation is prohibited by law.
